These Terms and Conditions govern your use of Core Intelligence services. By accessing or using our services, you agree to be bound by these Terms.
1. Definitions
- "Service" refers to AI transformation services provided by Core Intelligence
- "Client" means any organization accessing our services
- "Foundation" includes infrastructure, platforms, and systems we develop
- "We/Us/Our" refers to Core Intelligence
- "Agreement" means these Terms and Conditions
2. Service Terms
Our services are provided for professional business use:
- Services are available to organizations and businesses only
- Clients must be at least 18 years old or authorized representatives
- Accurate and complete information must be provided
- Clients are responsible for maintaining confidentiality of access credentials
- Service specifications are defined in individual project agreements
3. Service Delivery
Foundation Assessment
- • Typical duration: 4-6 weeks
- • Deliverables as specified
- • Client cooperation required
Platform Development
- • Typical duration: 3-6 months
- • Milestone-based delivery
- • Testing and validation included
Management Service
- • Monthly subscription basis
- • Continuous monitoring included
- • 30-day notice for cancellation
Payment Terms
- • Net 30 days from invoice
- • Milestone payments where applicable
- • Late payment interest may apply
4. Intellectual Property
Intellectual property rights are as follows:
- All deliverables become property of the Client upon full payment
- Core Intelligence retains rights to methodologies and frameworks
- Pre-existing materials remain property of their respective owners
- Client grants license to use project information for case studies (with approval)
- Confidential information is protected under separate agreements
5. Client Obligations
Clients must:
- Provide timely access to necessary systems and information
- Designate appropriate personnel for project collaboration
- Review and approve deliverables within specified timeframes
- Maintain infrastructure requirements for platform deployment
- Comply with all applicable laws and regulations
- Not use services for unlawful or prohibited purposes
6. Warranties and Limitations
Service Warranties
Services will be performed with professional care and skill consistent with industry standards. We warrant that deliverables will substantially conform to specifications.
Limitation of Liability
Our liability is limited to fees paid for the specific service. We are not liable for indirect, consequential, or incidental damages. Maximum liability does not exceed service fees paid.
Disclaimer
Services are provided "as is" regarding specific outcomes. We do not guarantee particular results or ROI. Success depends on multiple factors including client implementation.
7. Confidentiality
Both parties agree to:
- Maintain confidentiality of proprietary information
- Use confidential information only for project purposes
- Implement reasonable security measures
- Return or destroy confidential information upon request
- Obligations survive termination for 3 years
8. Termination
Either party may terminate:
- With 30 days written notice for convenience
- Immediately for material breach after 15 days cure period
- Immediately for insolvency or bankruptcy proceedings
Upon termination:
- Services will be discontinued as of termination date
- Client remains liable for fees for services rendered
- Confidentiality and IP provisions survive termination
9. Dispute Resolution
In case of disputes:
Step 1: Negotiation
Parties will attempt informal resolution within 30 days
Step 2: Mediation
If negotiation fails, parties agree to mediation
Step 3: Arbitration
Final disputes subject to binding arbitration in Singapore
10. Governing Law
These Terms are governed by Singapore law. Jurisdiction lies with Singapore courts for any legal proceedings.
11. Changes to Terms
We reserve the right to modify these Terms. Changes will be effective upon posting to the website. Continued use of services after changes constitutes acceptance of modified Terms.
12. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between parties
- Severability: Invalid provisions do not affect remainder of Terms
- Waiver: No waiver unless in writing and signed by both parties
- Assignment: Requires written consent of both parties
- Notices: Sent to registered contact information
